Staff Counsel, Legal Business Partner - North America Sales Organization

Duties: Partner with Sales organization by providing legal advice and guidance. Review and negotiate legal documents, or manage and advise client groups on legal transactions. May specialize in a single area or may practice broadly in many areas of law. Provide strategic legal advice and guidance to the business on terms of business arrangements including: Author agreements, customer agreements, RFPs, and contests/sweepstakes. Draft , review, assist in negotiating and structuring a wide variety of commercial agreements including: Technology, publishing, distribution, services and other agreements to assist the business in achieving its strategic objectives. Respond, analyse and provide legal advice and guidance on public procurement matters, from RFP exceptions to negotiating various contracts with governmental entities. Identify, analyse and help resolve problems and recommend and assist with the implementation of solutions. Advise on a broad range of legal matters including: Intellectual property, student data protection and regulatory issues. Assist with the interpretation of policies (including ethical and conduct guidelines) and, where relevant, input into the establishment of policies. Liaise with non-legal colleagues to help ensure these are implemented and complied with. Work in a collaborative way with colleagues in the global legal function, including sharing knowledge and know-how and providing views and comments to assist with the development and maintenance of standardized legal documents, templates, approaches and processes. Confer with colleagues with specialties in appropriate areas of legal issue to establish and verify bases for legal proceedings. May supervise administrative personnel and/or paralegals. Ensure that the business is aware of how to minimize legal risk in the context of maximizing commercial opportunities. Support the business in resolving problems. Assist in ensuring the effectiveness of the legal function and consistency of legal advice and processes globally. Communicate clearly and accurately on legal issues.
