Assistant General Counsel

Profile

The candidate assists the General Counsel in the Cooperative’s legal representation with particular emphasis on finance, credit, and transactional matters in performing core business functions. Assists General Counsel, or assumes primary role as directed, in representing the Cooperative in contract, financing, and other Cooperative business negotiations and matters. Maintains familiarity with laws, rules, regulations and current developments associated with the Rural Utilities Service (RUS) and other agencies relevant to the Cooperative's business. Performs certain core legal tasks for Arkansas Electric Cooperatives, Inc., including bidding review and liability management, and subsidiary oversight. Assumes a primary role in providing legal and other services to the Arkansas Rural Electric Self-Insurance Trust. Assists General Counsel, other in-house or external counsel, or assumes primary role, as directed, in representing the Cooperative in litigation or before regulatory agencies. Maintains knowledge and undertakes professional development efforts to maintain expertise on the legal constructs affecting the Cooperative and its members. Provides informational or substantive legal assistance to the members of the Cooperative, through their management, staff, and legal counsel. Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Interviews, hiring and training employees; planning, assigning and directing work; appraising performance, rewarding and disciplining employees; addressing complaints and resolving problems. Juris Doctorate, from accredited US law school with excellent academic credentials is required. CPA, MBA or related specialty designation in business and/or finance matters is preferred. Should have 7+ years’ contractual/transactional experience. Should have 5+ years’ related management experience. Should preferably have 10+ years of Corporate Law experience. Should preferably have 5+ years of Complex commercial transaction experience. Should be licensed to practice law in Arkansas.
