VP/AGC - US Prime Brokerage And Equity Finance
The candidate will be part of the legal team that negotiates trading documentation for equity prime brokerage, fixed income prime brokerage and the stock borrow/loan desk, and advises on legal and regulatory issues relating to client service, new products, disputes, and compliance issues. Should have 5+ years of experience with a major law firm or equivalent in-house experience (ideally covering a prime brokerage or equity finance business). Must have 5+ years of experience practicing law post-JD. JD or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment. Experience negotiating trading agreements, especially prime brokerage agreements, control agreements, and/or stock loan agreements helpful but not required; experience with ISDA, master confirms, and repo master agreements also would be a plus. Excellent drafting and analytical skills. Strong interpersonal skills; ability to develop and maintain internal and external client relationships. Familiarity with law and regulation relating to UCC, SEC customer protection and regulatory capital, Reg SHO, SIPA, bank regulation, hedge funds, and bankruptcy laws.
