Director, Shareholder Advisory Attorney

The candidate will serve as primary client contact on post-closing claims and contingent consideration/milestone issue management. Interpret and analyze deal agreements. Actively manage responses to claims and milestone events, including litigation/arbitration and tax claims (technical tax experience not required). Draft deal-related correspondence. Work closely with outside legal counsel and/or tax firms where appropriate to advance client objectives. Collaborate closely and in a collegial manner with other teams and groups. Actively participate, or take the lead on, special projects as needed. Other duties as assigned. Graduate of an accredited law school in the United States. At least 3 years in active legal practice. Admission to the bar of any state. Experience with M&A contracts. Litigation experience at a reputable law firm. In-house litigation management experience. Experience with negotiations, settlement, and mediation. Law degree from top U.S. law school. Work independently and seek solutions where none are evident. Manage multiple tasks simultaneously under tight deadlines. Extremely detail-oriented and meticulous. Efficiently and creatively solve problems when unexpected issues arise. Take ownership of issues and follow through to resolution. Excellent oral and written communication skills.
