Associate Commercial Contracting Counsel

Duties: Independently drafts and edits contracts and proactively handles various transactional matters through to conclusion related to U.S. commercial sales contracting (including group purchasing organizations, integrated delivery networks, distributors, strategic accounts, professional service agreements and local pricing agreements). Acts as a legal business partner to operations and commercial personnel within selling divisions to execute sell-side contract strategy. Possesses knowledge with the legal and regulatory framework concerning the sale and marketing of medical devices/technologies including matters related to anti-trust, fraud and abuse, HIPAA, and anti-kickback (including applicable safe harbors). Experience with distribution agreements and outcomes-based arrangements. Responsible for a large number of issues, prioritizing, and delivering timely results. Responsible for contributing to solutions to problems which could have a significant impact on the company. Responsible for providing legal advice related to multiple issues and making decisions related to legal matters which could have a large financial impact on the company including areas involving litigation, intellectual property, compliance with laws, investigations, contracting, government relations, sales agreements, tender agreements, and supply or vendor relationships among others. Follows and educates others on core contract management processes for execution and filing of agreements. Collaborates and communicates with colleagues, management and outside counsel on issues related to commercial sales.

Qualifications: Law degree and admission to practice law. 3+ years applicable professional experience; prior professional experience considered. Requires a thorough understanding of all areas of the selling business including impact of other functions (regulatory, operations, supply chain, manufacturing, sales, among others), other businesses, and geographies. Requires regular interaction with outside organizations including industry associations, law firms, vendors, customers, government agencies, consultants, health care professionals, and contractors, among others. Demonstrates good judgment and professional demeanor. Demonstrates ability to work effectively with colleagues in a global organization. Embraces and supports change in a dynamic environment. Ability to work independently and in a team. Possesses good analytical and drafting skills. Experience providing legal advice in a highly regulated environment preferred. Demonstrates a commitment to integrity and accountability. Provides guidance and direction to others. Good communication skills and ability to convey legal principles clearly and concisely. Has a basic understanding of business financials and reporting. Has the ability to allocate resources effectively and, where relevant, has a general understanding of the budgeting process, expense and headcount management. Possesses good organizational skills and ability to manage numerous projects and conflicting demands in a fast-paced environment. Good interpersonal skills and ability to communicate at levels of organization. Maintains confidential information. Proficiency in the Microsoft Office suite.
