VP, Associate General Counsel
The candidate will have day-to-day coverage of broadly syndicated loan CLO transactional matters, including oversight of external counsel in connection with the review and negotiation of offering documents and indentures, as well as repricing, refinancing and amendment documentation for existing transactions. Day-to-day coverage of broadly syndicated loan workout transactional matters, including oversight of external counsel in connection with creditor committees and advice and counsel related thereto. Assisting lead counsel for Leveraged Finance with ongoing strategic initiatives in connection with new product initiatives, fund financings and related matters. Must have 5+ years of experience with a major law firm and/or an in-house legal department. Should have JD degree and member in good standing of a state bar. Should preferable have familiarity with structuring and negotiating CLOs, LSTA standard documentation for leveraged loans, and loan workouts, including regulatory issues related thereto. Experience reviewing and/or negotiating broadly syndicated leveraged loan credit agreements is preferred. Experience reviewing and/or negotiating broadly syndicated loan CLO documentation is desired. should preferable have Experience with BSL workouts and distressed trading. Must have strong verbal and written communication skills, interpersonal skills and organizational skills, with the ability to independently coordinate with multiple internal colleagues and external counsel.
