Los Angeles office of a BCG Attorney Search Top Ranked Law Firm seeks general counsel with 8 years of experience. The candidate will report to the Firm Managing Partner and will work closely with the Firm Chairman, executive management team, partners, other professionals and staff concerning matters of firm governance, policy and risk management. Will be responsible for advising senior management with respect to the legal implications of all major decisions, strategies and transactions of the Firm; negotiating or reviewing and approving all material contracts and agreements between the Firm and its partners or employees or any third party; coordinating and overseeing the activities of inside counsel representing the Firm with respect to potential risks or claims (employment law compliance, employee benefits, privacy rights and obligations, conflicts of interest, and insurance coverage issues) and outside counsel representing the Firm with respect to asserted claims or legal proceedings; and providing advice and counsel to Firm partners and non-lawyer managers concerning matters of Firm policy and risk management, and seeking to ensure compliance with such policies and minimization of risks to the Firm. Counsels the Firm Managing Partner and other senior management with respect to the legal implications of the Firm’s major decisions, strategies and transactions. Serves as a key advisor to the Firm Managing Partner on issues of Firm governance, risk management, and policy implementation. Advises the Firm’s Executive Committee and its Chair on matters of firm governance and policy, including the interpretation and enforcement of the Firm’s Partnership Agreement, prepares resolutions for adoption by Executive Committee, and drafts proposed amendments to the Firm’s Partnership Agreement. Provides day-to-day legal advice and counsel to Firm partners, senior management team and administrative staff with respect to matters of Firm policy, risk management and, in conjunction with designated loss prevention and ethics specialists, professional responsibility matters (adherence to professional rules of conduct, State Bar, MCLE compliance). Provides internal support and oversight to the Firm’s Conflicts, Ethics and Opinions Committee. Oversees and coordinates the Firm’s pro bono program, including the approval and staffing of matters. Reviews and approves all new business intake requests, including client engagement agreements, due diligence questionnaires, conflict of interest clearances, and alternative fee arrangements. Also, ensures adherence with all firm rate and retainer policies. Negotiates or reviews and approves all contracts and agreements between the Firm and its partners or employees or any third parties. Coordinates and supervises relationship with insurance brokers and carriers, serves as primary liaison for all reporting, applications and renewals. Negotiates or reviews and approves all lease agreements and renewals. Negotiates or reviews and approves all partner separation/retirement agreements. Ensures compliance with applicable laws and regulations relating to employment relations, employee benefit programs, intellectual property and privacy rights and obligations, data management and security, and professional responsibilities. Coordinates and supervises inside and outside counsel engaged to represent the Firm with respect to the resolution of potential claims against the Firm, asserted claims or legal proceedings (fee disputes, clients right to arbitrate, document requests/subpoenas, collections). Ensures business licenses for each office are current and posted. Ensures all corporate registration requirements and renewals are current and maintained, including State Bar and IOLTA fund registrations. Oversees and assists in the implementation of all meetings of the partnership, including proper notice of meetings, recording of minutes. Enhances, develops, implements and enforces firm policies and procedures to improve the overall effectiveness of the Firm’s risk management program. Provides leadership in promoting and maintaining firm culture and commitment to internal and external client service. Maintains confidentiality of firm/client matters. Experience as a commercial litigator and/or handing management side employment matters is highly preferred. Thorough understanding and knowledge of legal ethical rules, guidelines and compliance issues relating to client representations and engagements are needed.
