SEC Attorney
The candidate will review and/or prepare all public disclosure and securities filings, including, but not limited to proxy statements, Forms 10-K, 10-Q, and 8-K, and Section 16 filings/reports. Advise on disclosure matters, including press releases, earnings materials, investor presentations, and other external communications. Ensure compliance with NYSE listing standards. Support the Assistant Corporate Secretary on corporate governance and Board matters, including assistance with preparation of materials, coordination of agendas, drafting of minutes and monitoring and ensuring compliance with Board and Committee responsibilities. Oversee preparations for Board Investor Outreach Program. Oversee preparations and the planning of annual stockholder meeting. Review and update various disclosure and governance policies and procedures as necessary. Advise on issues relating to transactions in company common stock, including employee training, maintenance of blackout periods, review of share repurchase programs and Section 16 compliance. Provide legal support and advice in connection with the company’s existing debt agreements and support financing transactions and activities, including the coordination of diligence. Support the Assistant Corporate Secretary and paralegal staff with regard to legal entity management and governance. Provide legal support and advice in connection with the company’s ESG Program, including a review of the company’s annual corporate responsibility report. Should have 5 years of experience as an attorney advising public companies on public securities matters either as an in-house lawyer or at a nationally recognized law firm. Experience providing advice on corporate governance matters and corporate transactions. New Jersey bar license or ability to obtain New Jersey limited in-house corporate counsel license. A Juris Doctor from an ABA-accredited law school. Ability to manage and direct projects and processes. Demonstrates confidence in risk-managed decision-making and judgment.
