Equipment Leasing Counsel, Director
The candidate will be reviewing, drafting, and negotiating direct origination and syndication documentation for commercial equipment leasing and finance transactions, including equipment leases and loans, guarantees, assignment agreements, landlord waivers, receivables purchase agreements, warehouse and floor plan line of credit agreements, term sheets, NDAs, and other transaction documents; (ii) working closely with senior management, sales, operations, credit, collections, and asset management to provide expert counsel on matters related to lien creation, perfection, priority, and enforcement, non-standard documentation and covenant requests, and other issues related Articles 9 and 2A of the UCC and other commercial law; (iii) reviewing, drafting, and negotiating workout agreements and other collection related documents, such as surrender agreements, purchase and sale agreements, and remarketing agreements; (iv) managing outside counsel, including providing strategic advice and guidance, with respect to litigation and bankruptcy matters; (v) identifying and advising on a broad range of legal, regulatory, and market issues relating to commercial lending, particularly with respect to the commercial equipment leasing and finance industry (vi) preparing and maintaining form documentation for equipment leasing and other secured and unsecured lending transactions; and contributing to industry initiatives through trade organizations. Collaborate and coordinate with attorneys across the Legal Department and other internal partners to ensure adherence to institutional standards and policies. Escalate material issues and developments to senior attorneys and members of management.
