Global Information Technology Counsel
Responsibilities: Serve on the information technology leadership team as a trusted advisor and counselor for day-to-day matters as well as key strategic initiatives; interact with global information technology professionals at all levels and information technology stakeholders in various other corporate functions and business units; coordinate with subject matter experts (privacy, security, risk management, etc.); and manage strategic partnerships with third parties, to deliver timely, relevant and comprehensive advice. Draft, review and negotiate complex commercial agreements, technology procurement agreements (including services, hardware, infrastructure and software licenses); collaborate with cross business and functional stakeholders to carry out merger, acquisition, and divestiture related activities; develop and maintain contract templates; and develop and provide relevant training for clients and legal professionals. Supervise the day-to-day activities of legal assistants and contract specialists in order to deliver quality service to internal clients; mentor, train, develop and motivate legal professionals and provide their performance feedback with the goal of enhancing and retaining talent; and determine the appropriate allocation of resources to meet current and future needs. Provide compliance training to employees in order to educate them regarding company policies and compliance requirements; communicate, investigate and take necessary actions to enforce compliance requirements in order to ensure that the company’s current or proposed activities, policies, business practices, and transactions comply with relevant laws and regulations. Manage disputes, vendor audits, or litigation that may arise from commercial agreements and company partnerships; investigate claims; provide preliminary opinion on exposure and downside risk assessment; collaborate with finance to set financial reserves, if applicable; recommend paths to resolve disputes; and oversee necessary execution in order to ensure that disputes are resolved in a manner that best protects the company’s interests. Draft, maintain and develop information technology policies, procedures and compliance programs.
