Technology and Commercial Transactions Attorney - Assistant General Counsel
The candidate will partner with OGC’s Investment’s counsel, providing Technology and IP support on their negotiations for electronic trading agreements, trade settlement platform agreements, asset due diligence services agreements, wealth management and product distribution platform agreements, model provider agreements, investment management agreements, account control agreements, sub-advisory agreements, custody agreements, fund services agreements and securities lending agreements. Significant experience with cyber security and third-party risk management, as well as strong working knowledge of privacy to ensure that customer information gathered by a third party is collected, stored and used in compliance with the firm's privacy and data security policies and with applicable laws and regs, is required. Lead, structure, draft and negotiate strategic technology agreements and other commercial agreements (including SaaS/cloud, and Software, Market Data, IT Consulting, Outsourcing, IT Development) with third party providers, for the firm and its affiliates. Engage as lead counsel and drive negotiations. Ensure contracts comply with the firm's policies and with regulatory requirements. Provide day-to-day advice to internal clients on a wide range of areas related to the IP, Technology and third-party contracts function including cyber and data security, risk management, and intellectual property. Advise internal clients on business issues, risk management and complying with Company procedures. Coordinate with other subject matter experts in the law department, Third Party Risk Management, CISO’s Office, and other areas of the firm as necessary. Establish strong partnerships with key Business Stakeholders and Procurement Partners to continue to secure and evolve the role of “trusted advisor” for the TIPSS law group. JD is required. Should have 7+ years of technology, IP, and strategic sourcing transactional experience. Experience working in regulated financial services or insurance institution is preferred. Experience counseling and advising on FinTech matters and transactions is a plus. Admission to the New York State Bar is required.
