Corporate Venture Capital Associate Attorney

A law firm in San Francisco, CA, is in search of a Corporate Venture Capital Associate Attorney to join their Venture Capital & Emerging Companies practice. The ideal candidate should possess 4+ years of transactional experience and be able to seamlessly integrate and support the firm's venture capital practice. The attorney's primary responsibilities include drafting and negotiating venture capital investment agreements, leading negotiations on key terms, and supervising, training, and mentoring associates in venture capital financing matters. To qualify, candidates should have a JD or LLM from an ABA-accredited law school, be admitted or eligible for admission in California, be knowledgeable about Excel and capitalization tables, and possess excellent written and oral communication skills.

Duties:

• Draft and negotiate venture capital investment agreements, including NVCA forms.
• Lead negotiations on key terms within venture capital investment agreements.
• Supervise, train, and mentor associates in all aspects of venture capital financing.
• Provide legal counsel and support to the firm's Venture Capital & Emerging Companies practice.
• Collaborate with clients and colleagues to drive successful venture capital transactions.

Requirements:

• 4+ years of transactional experience.
• The ability to seamlessly integrate into and support the Venture Capital & Emerging Companies practice.
• JD or LLM degree from an ABA-accredited law school.
• Admission to the State Bar of California or eligibility for admission.
• Proficiency in Excel and capitalization tables.
• Excellent written and oral communication skills.

Education:

• Juris Doctor (JD) or Master of Laws (LLM) from an ABA-accredited law school.

Certifications:

• Admission to the State Bar of California or eligibility for admission.

Skills:
