Senior Director, Corporate Law

Responsibilities: Advising on, negotiating, and drafting a variety of agreements (such as complex IP licensing contracts, manufacturing/GXP supplier agreements, research collaboration and clinical trial agreements, MSAs, CDAs, and consulting contracts). Interpreting and providing practical business advice concerning active contracts. Managing the company’s contracting operations and team, helping to establish and improve the contracting processes and implement best practices, creating and improving contract templates, providing training and references/tipsheets to business partners and other Legal Department staff. Partnering with business leadership to support effective compliance and legal risk management throughout the company, including by advising and organizing Corporate/Commercial law support for Corporate Development, R&D, CMC/Manufacturing, Quality/Regulatory, Clinical Development & Operations and various cross-functional project teams. Serving on the company’s Data Protection Team and/or advising on privacy/data protection legal issues. Support all aspects of projects throughout device and gene therapy product lifecycles from early stage research through clinical development and commercialisation. Advising on corporate governance, SEC and healthcare law compliance and securities law matters in conjunction with the General Counsel. Managing outside counsel and legal consultants for Corporate/Commercial Law needs. Developing and managing the budget for Corporate/Commercial Law work. Mentoring Legal Department colleagues in support of Legal Department, company and/or individual staff members’ professional development goals.
