Associate General Counsel

The candidate is responsible to provide transactional support for healthcare deals; evaluate and assist in developing transaction structures; analyze possible compliance issues; analyze, facilitate, negotiate and draft transaction documents for, including, asset purchases, physician referral source arrangements, purchases of practices, leases of employees, corporate governance, recruitment loans and leases of real property. Draft/review/negotiate a broad spectrum of contracts and related documents, including, but not limited to vendor agreements, licensing agreements, leases, agreements for goods and services, consulting agreements and non-disclosure agreements. Analyze operational issues and provide advice and direction concerning regulatory compliance. Regulatory work, including researching, interpreting and providing legal advice regarding federal and state laws, regulations, interpretive guidelines, advisory opinions and court cases related to corporate and health care issues, including but not limited to fraud and abuse, Stark, anti-kickback, HIPAA, confidentiality, and State and federal reimbursement. Develop, review and/or revise policies and procedures. Review, evaluate and provide legal advice concerning internal programs and projects related to accreditation requirements. Review and provide legal direction related to inquiries/complaints from state and federal administrative, regulatory and other governmental or accreditation agencies, perform necessary research of applicable law and internal practices, assist, draft and/or review responses to the government agency. Perform due diligence related activities in connection with mergers, acquisitions and other transactions. Draft and present training programs on relevant legal healthcare topics. Conduct, direct and/or assist in internal investigations. Other duties as assigned.
