Associate Director / Director, Corporate & Securities Law
Duties: Develop and maintain comprehensive securities compliance program in collaboration with internal stakeholders. Support compliance with SEC and Nasdaq rules and regulations, Sarbanes-Oxley Act, Regulation FD and company-wide policies, including reporting requirements under the Securities Exchange Act of 1934 and the Securities Act of 1933 (e.g., Forms 10-Q, 10-K). Assist with the preparation for board and committee meetings and the planning of the annual meeting of stockholders, including assisting in preparing and delivering Board updates, initiatives in improving governance, and the preparation of proxy statements and related filings. Collaborate with the stock administration team in equity administration and Section 16 reporting. Collaborate with the corporate communications team in drafting and reviewing external corporate communications. Assist with developing, refining, and maintaining policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements. Assist with corporate governance and compliance with third-party obligations and advising company management on these issues. Provide legal advice and support in a wide array of practice areas and special projects as needed. Work closely with outside counsel as needed. Facility with other areas of law such as transactions, employment, compliance, and/or healthcare law a plus.
