Senior Corporate Counsel
Duties: Develop a thorough understanding of business in order to serve as a trusted legal advisor to colleagues throughout the company. Structure, draft and negotiate a wide range of complex commercial and transactional agreements; Lead mission-critical legal transactions and negotiations. Support business development initiatives including acquisitions, strategic partnerships and new product development by providing advice on transaction structure, commercial terms and intellectual property; Lead drafting and negotiation of related agreements. Provide sales support and manage an efficient and responsive legal review process. Work collaboratively throughout the company to provide legal advice and support, in areas including technical operations, product development, sales, IT, marketing, finance and human resources. Support the General Counsel with policy, risk management and governance initiatives. In collaboration with the General Counsel, manage the company’s intellectual property. portfolio. Review and analyze applicable laws and regulations affecting the business, including new and changing laws and regulations, and proactively inform and make recommendations. Efficiently work with and manage outside counsel. Oversee contract management. Prepare template sales and service agreements; partner/supplier agreements; licenses; distribution and supply agreements for product offerings. Manage and perform legal due diligence and support M&A activities.
