Lead Counsel - SEC Filings/Public Disclosures
The candidate will advise on public company matters, including SEC filings and other public disclosures, corporate governance, board and shareholder items, and securities law compliance matters. Will review, provide comments, and ensure compliance with regulatory requirements and best practices for significant corporate disclosures, including SEC filings, earnings materials, news releases, and other public disclosures. Provide substantive legal advice on securities law compliance matters, SEC and NYSE requirements, and corporate governance best practices. Participate in and handle various corporate governance activities. Provide legal advice on matters for the management of the Corporation and its subsidiaries. Identify and analyze complex legal issues, develop conclusions and make recommendations for issue resolution. Collaborate strategically with peers and colleagues to resolve issues and achieve goals. Lead projects, and teams or serve as a peer mentor. Develop relationships with and provide guidance to more experienced leadership, including executive officers, on issues that may present legal, regulatory, compliance, or reputational risk to the Company.
