Job Overview: A law firm in Washington, DC, is seeking a Mid-Level Corporate Associate Attorney with a minimum of 5 years of broad corporate experience. The ideal candidate should have a strong background in private equity and debt transactions, with a preference for experience with SBIC funds. The candidate must be admitted to the State Bar of the District of Columbia.

Duties:

• Provide legal counsel and support to clients on a wide range of corporate matters, including mergers and acquisitions, private equity investments, debt transactions, and general corporate governance.

• Draft and review legal documents, including contracts, agreements, and other transactional documents.

• Conduct due diligence and research to support client transactions, ensuring compliance with relevant laws and regulations.

• Collaborate with senior attorneys and clients to develop and execute legal strategies that align with the client's business objectives.

• Assist in negotiations and closings of corporate transactions, representing clients in a professional and effective manner.

• Stay current with changes in corporate law and regulations and provide guidance to clients on how these changes may impact their business operations.

Requirements:

• A minimum of 5 years of relevant corporate law experience.

• Admitted to the State Bar of the District of Columbia.

Preferred Qualifications:

• Experience with Small Business Investment Company (SBIC) funds is highly desirable.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active membership in the State Bar of the District of Columbia.

Skills:

• Strong knowledge of corporate law, mergers and acquisitions, private equity, and debt transactions.

• Excellent legal research, analysis, and writing skills.
