Assistant Counsel
The candidate will review, draft, and negotiate a wide range of agreements, including supplier, customer, confidentiality, consignment, distributor, product development and license agreements for domestic and international operations and functions. Draft and manage standard terms and conditions and forms of agreement. Provide employee compliance training and assist in maintaining a company-wide compliance program. Assist in managing Company policies and procedures and the Company record retention program. Provide support for acquisitions and divestitures and other corporate development activities. Assist with managing outside legal counsel and litigation as necessary. Develop a thorough understanding of the Company’s business, its core values, its people, products, technology, markets, customers and competitors in order to assist the Company in meeting its overall business goals and objectives in a legal, compliant, safe and responsible manner. The position will also be responsible for helping to provide support to senior members of the Legal Department in other areas such as benefits, environmental, employment, insurance, procurement, real estate, research and development, and workers' compensation. Perform all other duties and special projects as assigned.
