Director of Compliance

The candidate will work closely with the General Counsel and Head of Compliance to oversee the compliance team in mapping and building out the company’s compliance function in each jurisdiction worldwide, which currently stands around 11 jurisdictions, focusing on: Anti-bribery, FCPA, anti-corruption, cybersecurity, data privacy, CFIUS, antitrust, NERC, various regulatory regimes in Chile, Europe, Africa, APAC and other regulatory matters; Establishing and conducting effective compliance and company-wide training programs; Overseeing the company’s regulatory approvals in its various operating locations. Conduct periodic reviews of internal compliance procedures, analysis, planning, and implementation of required changes and support activities related to internal compliance reviews and internal audits, with particular emphasis on overseeing NERC regulatory matters and self-reports. Support the NERC compliance function, including the implementation and continuous improvement of the company’s NERC compliance program. Routinely provide strategic advice to and collaborate with multiple departments to improve internal processes and transform the compliance function to be viewed by the business units as a collaborator and partner. Assist various departments in managing appropriate evidence of compliance; periodically review documentation and evidence to assure accuracy and completeness; review existing procedures and create new procedures and processes with controls to ensure compliance performance. Effectively partner with outside experts and legal counsel as needed to leverage subject matter expertise and manage multi-jurisdictional compliance issues. Remain current on regulatory and legal changes impacting our business and communicate such changes across the company, to the General Counsel and to the Board of Directors, as needed, to proactively manage compliance risk. Serve as compliance liaison to the applicable regulatory bodies.
