The candidate will build positive business partner relationships with diplomacy, and drive results by providing best in class legal advice in a pragmatic and strategic manner in a collaborative environment. Provide legal advice and counsel to our business partners on legal aspects of a sophisticated institutional investment management platform in a global insurance company. Provide legal support in connection with negotiation of separate account investment management agreements in private and public fixed income asset classes for domestic and international institutional investors. Provide ongoing legal support for existing MIM Funds, including review and negotiation of fund and other product documentation, including LPAs, PPMs, and investment management agreements. Provide legal advice in support in connection with sales and marketing efforts of the MIM business, domestically and internationally. Provide regulatory advice in connection with MIM operating platform and Fund products to ensure adherence with Investment Advisors Act and applicable Securities Acts regulations. Support the operational and compliance requirements of this new business by providing cogent SEC and other regulatory guidance. Maintain diplomatic client relationships and provide education to business partners on relevant legal developments while growing own business acumen. Efficiently monitor and manage outside counsels work product and costs. Prepare reports for Legal Affairs management. Partner with our units in a collaborative manner to achieve enterprise goals. Perform other duties as required. JD and NJ or PA Bar admission is required (NJ in-house counsel certification required to be maintained if admitted to another state bar) for Whippany and Philadelphia locations. Should have 3+ years relevant investment management experience in-house with an investment management firm and/or with a law firm. Experience with private fund structuring and formation is a plus. Experience with negotiation of separate account investment management agreements with institutional clients is preferred. PA Bar license is required. Should be English or Irish qualified lawyer for London and Dublin locations.
