Senior Counsel for Strategy, Business Development and M&A, Patents
RESPONSIBILITIES: Identify key IP assets of transactions. Evaluate status and scope of IP rights. Evaluate patentability, validity and enforceability of IP rights. Conduct and provide freedom to operate analyses. Determine type and duration of exclusivity available (Patent, Regulatory Data Protection). Assess relative IP position of key competitors. Guide BD clients and senior management regarding IP due diligence findings and recommendations. Recommend post-licensing or post-acquisition patent strategy. Collaborate closely with BD, legal and technical diligence teams to ensure the timely management of BD transactions. Negotiate IP-related matters in complex licensing and M&A transactions and draft IP-related clauses in agreements. Manage outside counsel to maximize efficiency and quality of work product.
