Senior Counsel-Commercial Transactions

The candidate will draft, review, and negotiate a wide range of commercial agreements, including all types of technology-related agreements, license agreements, business partnership agreements, professional services agreements, NDAs, etc. Maintain general knowledge in substantive legal areas such as data privacy and security, marketing, and intellectual property. Serve as a key business and legal partner by virtue of technical competence, excellent business judgment, and ability to develop relationships throughout the organization. Interface effectively with management at all levels. Demonstrate an in-depth understanding of business operations and objectives to assess risk and bring together cross-functional teams to ensure business alignment. Collaborate with and provide actionable advice and creative solutions to business partners on various business and strategic issues. Partner with other members of the legal team and business partners to resolve pre-litigation issues that arise in commercial relationships. Develop and refine templates, policies, procedures, and related educational material for the legal team and our business partners to standardize and improve the contract review process. Identify software and other tools to advance efficiency. Play a key role in vendor management and digital transformation initiatives.
