Legal Counsel- Design Build Experience
The candidsate will be providing advice and support at all stages during the review, negotiation, and management of Design-Build contracts (including Teaming Agreements, Tender Agreements, Delivery Agreements and Joint Venture Agreements including Alliance Agreements) from initiation to closure. Applying a risk-based approach to Design-Build contracts considering and implementing best-practices (including Arcadis’ governance processes) in balancing contractual, commercial and delivery risk against the growth objectives of the business. Playing a proactive role in the pursuit go/no go process to determine, in conjunction with the Arcadis growth, operations, commercial and risk teams, appropriate contractual structures and strategies for opportunities. When negotiating Design-Build contracts, aligning with the delivery teams to ascertain what contractual risk can be mitigated by management planning, price, scope or schedule. Working closely and proactively with Arcadis US Legal, Compliance & Privacy (‘LCP’) team colleagues and operations leaders to monitor and provide legal support to project contracts (with a focus on legal/contractual and performance risks). Proactively contributing to and providing best practices and knowledge sharing in areas of responsibility through Global Communities or Practice or otherwise (e.g., Design-Build, PPP and other alternative delivery contract management leadership, risk identification and mitigation including D&B related insurance issues, recognizing matters requiring elevated legal review) to the Arcadis business. Providing sound and insightful advice to the business on a variety of matters such as contract negotiation, risks associated with scopes of work/services, and providing training to relevant personnel on same. A keen interest in promoting and upskilling relevant Arcadis personnel (including global Legal and commercial team colleagues) in identification and mitigation of legal and commercial risks, negotiation skills, and similar contract management tools in Design-Build projects and disciplines. Working effectively with Arcadis enabling functions and operations leadership to ensure consistency in contract management processes and awareness. Performing other duties and responsibilities requiring general legal advice as required from time to time by the business. Establish trusted and influential relationships with Arcadis US and Global LCP team members, senior leaders in the business and other Enabling Functions. Contract and performance/risk management experience in all general aspects of civil engineering disciplines; experience negotiating Design-Build contracts for contractors or engineers particularly valued. PPP/PFI experience welcome. Knowledge of U.S. federal, state, and local public contracting laws in design-build environment (and ability to perform targeted legal research in jurisdictions where knowledge is not present). Exceptional communication skills, both written and verbal. Exceptional organizational and time management skills, with demonstrated ability to handle multiple tasks, consistently meet deadlines, and manage high-volume of work while exercising sound judgment and commercial acumen. Strong interpersonal skills. Ability to balance company interests and legal principles, combined with high standard of integrity. Ability to support collaboration and operate effectively in a team environment. A Juris Doctor or its equivalent and a member in good standing of a Bar of a U.S. State, Territory, the District of Columbia, or a Canadian equivalent. At least 10 years of demonstrated work experience in construction/engineering law and contracting (ideally in both a reputable law firm and as an in-house lawyer), with substantial experience reviewing and leading negotiations of design-build contracts for engineers or contactors on public infrastructure projects (e.g., highways, mass transit, rail, bridges, waste-water treatment plants, data centers, , etc.) in North America.
