Corporate Counsel
The candidate will be advising executive members on new laws, existing laws and legal rights that would impact functionality of the business. Overseeing the legal matters of the business, including acting as the business’ legal representative. Maintaining knowledge of the company’s legal documents and operations. Crafting and reviewing legal strategy in response to any litigation. Keeping a record of all legal documents and proceedings for the company. Facilitating filings of licensing forms and other statutory requirements. Communicating with outside counsel. Legally filing for copyright of intellectual property. Examining and creating draft agreements, such as customers, partners, employment, and vendor agreements. Conducting legal research and reviewing company's litigation strategy pertaining to legal actions. Promulgating and creating directives of corporate acts and decisions. Liaising with outside counsel regarding their assignments. Creating new entities and managing organization's intellectual property. Minimum of 10 – 15 years of progressive experience and legal teams’ leadership, as well as working with relevant legal matters. Proven years of practice with an established law firm, and/or working as internal counsel. Courtroom experience. Experience with corporate governance issues and corporate secretarial duties. Advise company leadership on employment law related matters. Proficient understanding of business sensitivities and confidentiality. Leadership to manage several legal experts and to direct them and executives at the company to achieve the best legal outcomes. To remain informed of all the latest changes on the corporate law that could impact the operation of the business. Negotiation skills to charge of the response when an entity files litigation against the business, from formulating a strategy to potentially going to the courthouse to argue a case or help outside counsel to do so. Expert communication skills to ensure all litigation information and instruction to staff are clear and effectively ensure the desired outcome. Collaborative, team-based posture with the necessary people and performance management competencies to communicate a passion for winning. Able to work with project management, professional services, customer care, sales, marketing, service delivery, training, and user documentation teams to successfully negotiate contracts on behalf of the company. Demonstrably high ethical standards. A Law degree from an accredited university. Bar membership in NY, TX, IL, and or CA preferred. Valid License to practice law. MBA strongly preferred.
