Associate General Counsel
The candidate serves as the day-to-day attorney/legal advisor to the Operating Companies on items such as contract issues, contracts, subcontracting, finance, corporate governance, and M&A transactional work. Independently manages a caseload involving construction claims, insurance defense, general liability, transactional work, litigation, and contract drafting/review, including Federal contract work. Works closely with the General Counsel, outside attorneys, and team members on legal projects. Responsible for handling own docket and managing their case load from inception through resolution on assigned matters. Provides legal oversight and support for other transactional legal work, including the review, drafting and negotiation of both commercial agreements. Interprets contract terms, assess business and legal risks to minimize loss and liability and communicates such to management and other internal clients. Responds to ad hoc queries to include identification analysis and evaluation of risk in order to provide appropriate legal solutions. Provides risk management analysis related to general business practices and monitors claims against or on behalf of the company. Advises on legal issues involving government and regulatory Compliance. Provides legal support on major business transactions and corporate matters. Participates in the review analysis, and execution of Government Contract opportunities to ensure compliance with company policies and US Laws and regulations. Participates in the definition, development and continuing legal oversight of corporate policies. Represents the company in different aspects of federal procurements including bid protests, contract review and negotiation, performance and terminations, government investigations, dispute resolution and litigation. Drafts, analyzes and reviews construction claims. Interprets, manages and updates various internal policies, templates and requirements. Develops litigation strategies and negotiates settlements of disputes where warranted. Monitors and provides continuous counsel on US laws. Creates templates and form contracts for routine transactions. Develops and maintains deep knowledge of the Operating Companies' business strategy. Should possess experience in construction litigation, contract drafting and review, and Federal projects. Communicates with internal and external customers and provides status reports. Additional duties as assigned.
