Legal Director - Corporate and Securities
The candidate will be doing corporate and securities matters, including public company regulations, subsidiary, and legal entity management, corporate finance, mergers and acquisitions, and other international transactions. Corporate governance and corporate secretarial experience advising public company boards and/or executive leadership. Extensive knowledge of, and experience advising on, corporate and securities laws and regulations for U.S. public companies, especially SEC and Nasdaq / NYSA compliance, including but not limited to ‘34 Act current and periodic reporting obligations and ’33 Act registered offerings, Rule 10b5-1 plans, Rule 144 resale. Knowledgeable in Section 16 reporting and insider trading compliance matters. Experience reviewing earnings press releases, investor presentations and other public disclosures and external communications. Must be an experienced public company attorney with a Juris Doctor from an ABA-accredited law school and admission to the New York or other acceptable Bar Association. Should have 4- 10 years of relevant in-house, public company experience and/or top law firm experience with a leading securities/capital markets practice advising public company issuers. Familiarity with other regulatory compliance matters, such as FCPA, insider trading, sanctions, anti-trust, and other similar matters. A pragmatic thinker and problem solver with the confidence, discretion and ability to advise the Board of Directors and executive leadership team is needed. A clear, collaborative communicator with strong attention to detail, organizational skills and excellent judgment is essential. Experience in supervising and coordinating outside legal counsel and other advisors and liaising with regulatory agencies. Government experience, particularly at the SEC is essential.
