Associate Director and Counsel, Mergers, and Acquisitions

The candidate will primary legal support for all stages of M&A activity from target identification to transaction planning, diligence, deal development and execution, and the integration or separation post-transactions. Reviewing and formation of joint ventures, equity investments, and other strategic collaborations, including licensing. Advice and guidance to the P&W Group Strategy & Development team. Working closely with Group Strategy & Development and functional groups in all stages of deal activity. Reviewing, structuring, drafting, and negotiating M&A deals, strategic investments, joint ventures, and other collaborations. Independently negotiating complex business transactions. Should have Juris Doctor Degree (J.D.); 10+ years of relevant experience; 5+ years of legal experience primarily in M&A at a top law firm and/or in-house; ood standing with a state bar association and in-house counsel registration in a timely manner following hire. Substantial experience as a solution and business-oriented attorney working all phases of M&A deals; demonstrated capacity to actively solve complicated legal and business problems; ability to interact effectively with multiples levels of the organization and maintain strong relationships with peers, internal clients, and external customers; ability to think and work proactively and strategically in resolving legal issues; sound judgment and attention to details; superior communication skills, both oral and written.
