Compensation and Benefits Counsel

The candidate will serve as a key legal advisor and business partner to the CBP team on ESOP matters. Work with CBP teams globally to assess special LTI programs, review LTI award agreements, advise on various LTI implementation scenarios, and provide legal risk mitigation strategies to ensure legal compliance from a US legal perspective with a focus on securities laws and tax regulations. Develop strategies to address legal issues in creative, business-centric ways. Build processes that manage risk and allow the company's LTI plans to attract and maintain talents continuously. Advise on the tax and securities issues arising in equity compensation arrangements and handle real-life and cutting-edge employee benefits-related issues. Coordinate with CBP team, HRBPs, public policy, communications, employment law counsels, and other cross-functional colleagues on projects which would allow the company's LTI plans to attract and maintain talents continuously. Should have a Bachelor's degree with Juris Doctorate from an ABA-accredited law school. Must have 10+ years of legal experience as a licensed attorney, including experience in employee and executive compensation and benefits legal/tax practice with a focus on the technology industry or similar experience. In-depth understanding of the securities and tax regulations that commonly apply to employee equity compensation arrangements is needed. Hands-on experience designing and implementing LTI plans at similar organizations within the US market is essential. Experience working with international teams in non-US markets in a cross-functional environment is preferred.
