Counsel, Director (Derivatives)
The candidate will work closely with business units on structuring and negotiating new transactions and products and establish a strong relationship to ensure client satisfaction. Advise the bank and its subsidiaries on derivatives matters, including CFTC/NFA registered swap dealer. Advise on derivatives regulatory matters, including analysis, implementation, and advocacy concerning CFTC, NFA, and SEC regulations. Advise on LIBOR transition matters, including industry group initiatives. Advise on derivatives transactional matters and support swap dealer transaction management unit on ISDA and other derivatives documentation. Review, draft, and negotiate derivatives, repo, and securities lending documentation, including ISDA Master Agreements, MRAs/GMRAs, MSLAs/GMSLAs and FX documentation. Review, draft, and negotiate non-standard confirmations and advise on new products. Advise compliance departments on derivatives matters, including in relation to internal and external audits. Support swap dealer netting program, including reviewing industry and bespoke netting opinions and issuing netting enforceability memos. Collaborate and coordinate within the derivatives team and across the Legal Department, including serving as a derivatives subject matter expert. Position also entails general corporate legal work and special projects within the Legal Department as needed. Engage/manage outside counsel. Admission to the New York bar (or clear qualification of eligibility for waiving in from another jurisdiction with which New York has reciprocity) and a member of good standing of such bar. Should have 7-10 years experience at law firm or bank with expertise in derivatives. Strong familiarity with CFTC/SEC swap dealer regulation and U.S. derivatives laws and regulations. Expertise in derivatives documentation. Proven skills in legal and regulatory risk management. Ability to see past the question and understand the bigger picture. Ability to balance competing demands and protect institutional interests. Ability to articulate complex concepts and ideas and apply them at a practical level to real-world situations. Excellent communication skills, both written and oral, including public speaking, technical drafting skills, and issue-spotting skills. Ability to work under pressure, operate comfortably in a fast-paced, demanding environment, and manage a significant workload with minimal supervision. Ability to think creatively and propose solutions. Ability to work with people from regions around the world. Must be a team player.
