Legal Corporate Counsel - Commercial Contracts
The candidate will proactively assist with the assessment and management of legal affairs, with a strong focus on transaction matters, including M&A, and intellectual property. Will assist with all legal matters including governance, contracts, transactions, regulatory compliance and more. Other duties will include: Review and advise on variety of commercial and procurement contracts, and drive adherence to standards and system for contract management. Manage and deliver positive outcomes of a variety of complex issues, projects, and assignments within the legal department. Provide strong leadership and legal counsel to all parts of the company business. Respond, manage, implement and drive corrective action with urgency, efficiency, and sound judgment in the event of an environmental or safety related incident, and/or investigation. Build and maintain relationships with customers and business, community, and industry organizations to promote goodwill. Ensure compliance with applicable HSEC Performance Standards, together with legal and regulatory requirements. Encourage build and maintain collaborative alliances and relevant participation and direction in conjunction with relevant third-party institutions and industry organizations. Support with management of regulatory claims and proceedings, and internal and external investigations, with efficient use of internal resources and external counsel. Provide legal support for various projects as required. Respond professionally and timely to address legal and commercial problems and business requests. Utilize judgment and make clear, rational and timely decisions in the best interests of Dyno Nobel consistent with available facts and applicable laws and regulations. Obtain and analyze all facts necessary to make sound business judgment. Achieve deliverables and positive results consistently while maintaining high service, quality, responsiveness, efficiency and professional ethical standards. Build trust and respect between Company and all of its stakeholders. Deliver research, factual information, counsel, and guidance on legal questions or issues. Develop and deliver memoranda’s, initial drafts, and final drafts of legal documents. Bachelor’s degree and Juris Doctorate from accredited universities. Member and of good standing with the appropriate Bar Association. 5 years legal experience required. Ability to understand and respond to commercial and management needs in addition to and in conjunction with legal competencies. Proven experience in litigation, administrative hearings and compliance. Bilingual Preference: Spanish and/or French.
