Commercial Counsel
Duties: Reporting to the Senior Director - Commercial Legal, the Commercial Counsel will be a key contributor to Smith & Nephew’s Global Commercial business by providing legal support for strategy, critical projects and initiatives globally. Identify, manage and mitigate legal risk and opportunity in business activities globally, with a focus on commercial contract drafting/review and advising on routine and operational matters. Provide support on compliance and litigation matters. Commercial Counsel will work alongside others in the in-house team including the support of our paralegal team. Support and advise on all commercial legal matters in relation to Global Operations ensuring consistent use of template agreements within the business (including without limitation customisation of template service agreements, distribution agreements and consultancy agreements). Support, draft, review, and negotiate sales and pricing agreements, value solutions business models, rebates and discounts, GPO agreements and other commercial contracts.. Proactively managing routine legal matters and being a first point of contact for legal matters relating to Direct and Indirect Procurement, IT, commercial sales, marketing, finance, clinical, R&D, and other business functions.. Support on commercial litigation. Reporting on and managing legal fees and budget for external counsel. Assist with management and administrative functions as assigned. Support Counsel Senior Director - Global Commercial in creating and administering legal training within the legal group and to key business stakeholders, and executive leadership. Support Counsel Sr. Director on global data privacy and security matters. Work with Compliance function to ensure commercial alignment and compliance with healthcare regulatory laws, including Stark, Antikickback, HIPAA, HITECH, and others.
