Vice President, Senior Transactions Counsel
The candidate will function as the lead lawyer on complex and strategic transactions. Most of the transactions will have significant intellectual property components, making proficiency in licensing and related IP concepts. Advising on promotional, marketing and advertising matters, and guiding appropriate stakeholders on best practices relevant to their respective initiatives (e.g., product launches, geographic expansions). Operate as the Senior Legal Lead for multiple, company-owned brands, especially with regards to product launches in mass channels. As Vice President, Senior Transactions Counsel, manage and train a junior transaction lawyer to assist on all Amyris commercial contract matters, and contract database management. Provide legal support through implementation, integration, and established brand phases of various business partnerships. Assist as needed in the processing of the Company’s non-disclosure/confidentiality agreements, material transfer agreements, manufacturing, and supply agreements. Adherence to Amyris Safety Policies and Procedures. Should have a J.D. Degree. Must have 12+ years of experience (law firm training coupled with in-house experience). Member in good standing of one State Bar. Experience with significant drafting experience (including drafting documents from scratch) and experience negotiating complex strategic partnerships (including joint ventures) and technology agreements (including collaboration and licensing agreements). Background in advising on promotional, marketing and advertising matters, and guiding appropriate stakeholders on best practices relevant to their respective initiatives (e.g., product launches, geographic expansions). Ability to travel occasionally. Member in good standing of CA Bar preferred. In-house experience at a tech company preferred; with experience in bioscience/biotech/pharma strongly preferred. Knowledge of CPG industry and omni-channel sales distribution are a plus. Experience with intellectual property (in- and out-licensing) transactions. Comfortable doing a significant amount of drafting and negotiation; will be interested in learning about complex technology and the market standards applicable to the Company’s products across a variety of jurisdictions in the US and abroad. Willingness to manage multiple transactions simultaneously, both independently and with other Legal Team members. Keen business acumen and ability to partner with business clients and Legal Team members. Strong verbal and written communication skills, including the ability to communicate concisely and draft complex commercial agreements. Experience using interpersonal skills including creativity, flexibility and a high energy level. Team-oriented, with ability to interact effectively and positively with peers and all levels of management. Member in good standing of one State Bar (CA Bar preferred).
