VP, Assistant General Counsel - Antitrust Legal
The candidate will counsel the Firm’s Corporate M&A and Corporate Development groups in connection with proprietary mergers, acquisitions, divestitures, and joint venture transactions; and Strategic Investments group in connection with investments in FinTech startups, venture capital transactions, and heritage private equity divestitures, on antitrust and competition issues including in connection with agreements, due diligence, integration planning, and managing a portfolio of investments. Manage and oversee the preparation of merger control filings. Counsel business and legal teams on antitrust and competition law issues on a variety of types of contracts, partnerships, and collaborations. Counsel product, business, strategy, and legal teams on a wide range of non-transactional antitrust issues. Identify and anticipate highly complex legal and or other issues relating to antitrust and competition law and effectively communicate solutions. Provide training to a variety of legal and business partners on complex antitrust and competition issues. Monitor developments in antitrust and competition law and advise the Firm’s stakeholders on how developments can impact the Firm and its businesses. Demonstrate good interpersonal skills and ability to build rapport and relationships with various stakeholders across the Firm including business, legal, and compliance teams. Demonstrate excellent verbal and written communication skills particularly as it relates to analyzing and understandably explaining complex legal issues. Demonstrate organizational skills, including the ability to prioritize multiple time-sensitive projects in a fast-paced environment. Should have J.D. from an accredited law school; 5+ years of extensive antitrust and competition experience with a major law firm, in-house corporate legal department, or government agency. Experience with antitrust issues in the financial industry is preferred. Experience with antitrust and competition laws in jurisdictions in addition to the US is a plus. Must be licensed to practice law and a member in good standing in Texas and/or New York (as appropriate); completion of conflicts of interest clearance review prior to commencement of employment.
