General Counsel

The candidate will manage the Company’s corporate governance, including board and committee operations, corporate secretary function and oversight of organizational documents, corporate minute books, policies and board guidelines. Assist in negotiating, structuring, drafting and/or reviewing commercial contracts, particularly new customer and sourcing contracts. Oversee legal affairs associated with the Company’s intellectual property portfolio and privacy matters. Support finance and treasury functions. Together with the executive team, provide counseling to the Company on business initiatives and important decisions. Review marketing materials working closely with the Company’s marketing, sales, and public relations teams. With the assistance of outside litigation counsel, direct the Company’s litigation and legal proceedings. Support and advise the Human Resources department concerning personnel, labor and employment issues globally, including employment agreements and equity ownership matters. Provide advice and counsel concerning acquisitions, dispositions, joint ventures and other possible investments. Manage and oversee all legal issues and the provision of legal services, counsel and advice to the Company. Advise and manage regarding real estate matters. Advise management and the Company generally on matters of international law. JD from an accredited law school and membership in good standing of a U.S. state Bar is required. Should have 10+ years’ experience in a corporate legal department and/or law firm. Experience with corporate transactions, corporate governance and commercial transactions are required. Litigation management, employment law and international experience are desired as is a combination of law firm and in-house experience. International experience is required.
