Capital Markets/Securities Associate Attorney

Profile

A law firm based in Charlotte, NC, is seeking a Capital Markets/Securities Associate Attorney to collaborate with senior leadership on a wide range of securities offerings and compliance matters for the firm's public and private issuer clients and investor clients. This role involves working on capital markets transactions, addressing securities regulation issues, corporate governance, and general business matters. The ideal candidate should have 4-6 years of experience at a large law firm with a sophisticated capital markets and securities practice. Strong academic records, excellent communication skills, transaction management capabilities, and experience supervising associates are essential for this role.

Duties:

• Provide legal support in securities offerings and compliance matters for public and private issuer clients.
• Collaborate with senior leadership on capital markets transactions, including registered and Rule 144A/Reg S offerings of investment-grade and high-yield debt, convertible debt, equity offerings, PIPE transactions, ATM offerings, initial public offerings, price placements, and liability management transactions.
• Advise and assist public companies in regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports, and compliance with NYSE and NASDAQ rules.
• Address corporate governance and general business matters.
• Supervise and guide junior associates in legal matters.

Requirements:

• 4-6 years of legal experience at a large law firm with a sophisticated capital markets/securities practice.

Preferred Experience:

• Advising clients in capital markets transactions.
• Handling registered and Rule 144A/Reg S offerings.
• Experience with debt, equity, and liability management transactions.
• Regulatory compliance and SEC reporting for public companies.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Skills:

• Legal experience in capital markets and securities.
