Senior Commercial Counsel - Americas East

The candidate will be drafting, reviewing and negotiating a variety of commercial agreements, including but not limited to SaaS Subscription Agreements, Master Services and/or Purchase Agreements, Hosted Services Agreements, Evaluation Agreements, etc. Negotiating Data Processing Agreements (DPAs), Business Associate Agreements (BAAs), Information Security Addendums and other similar agreements directly with customers and partners. Proactively working with internal clients to improve and scale all aspects of the contract negotiation process. Advising internal teams to minimize risk while balancing business interests. Remaining current on applicable laws and regulations surrounding IP, privacy, security. Conducting periodic employee training on any or all of the above. Law degree from an accredited U.S. law school and an active admission to a State Bar. Should have 7+ years of experience drafting and negotiating a wide range of complex commercial contracts, with strong attention to detail and excellent business judgment. A combination of law firm and in-house experience is preferred. Extensive commercial transactions background in technology and SaaS, especially dealing with Sales transactions. Comfortable understanding of data privacy and security issues in the technology space (CCPA, GDPR, etc.) and experience drafting and negotiating data privacy and data security terms. Experience working with large multi-national customers, including with companies in the health, financial and insurance industries. Flexibility and eagerness to work hard in a fast-paced environment and meet tight deadlines (especially at the quarter end). Highly organized individual with a team-oriented mentality, “can do” attitude and ability to collaborate with both legal and non-legal colleagues.
