Deal Advisory - Tax Manager

The candidate will be advising clients on a full spectrum of tax services including planning, research and other merger and acquisition activities. Developing tax structuring solutions for clients undertaking acquisitions and/or divestitures. Working with and assisting other senior members of the Transaction Advisory Services Tax Practice with various technical issues involving all aspects of domestic and cross border M&A tax matters. Analyzing historical tax filings and tax positions that should be considered as part of the M&A process. Identifying and communicating critical deal issues to senior management that could impact the purchase price or the deal structure. Preparing detailed memorandums and findings focused on technical considerations impacting a transaction. Providing mitigating solutions for tax exposures discovered during due diligence. Assisting in M&A financial modeling and tax consulting projects such as Sec. 382 ownership change analysis, earnings and profits studies, tax basis in consolidated subsidiary stock analysis, bankruptcy/insolvency, and transaction cost analysis. Analyzing tax positions of numerous entity types including consolidated returns, S Corps., LLCs, partnerships and LLPs. Assisting with the calculation of purchase price allocations. Train and mentor staff and senior level colleagues specifically in areas of M&A tax. Participating in new client development activities. Publishing M&A tax thought leadership and whitepapers for internal, client, and external publications. Should be licensed CPA or JD/LLM with a minimum of 5 years of progressive M&A tax experience. Broad range of knowledge of a variety of tax matters in numerous industries. Working knowledge of indirect taxes and ASC 740. Must have exceptional time management capabilities and the ability to handle multiple projects concurrently. Must have excellent analytical, research, and communication skills (oral and written).
