Associate General Counsel, Corporate Affairs
The candidate will provide counsel to all levels of management on the business environment, challenges, and corporate objectives. Advise on all corporate matters including corporate financing, M&A, employment law, capital efficiency matters, corporate governance, real estate leases and other corporate matters. Build and scale the corporate function within the organization. Identify legal issues raised by business colleagues, research new legal issues, and provide advice in a manner that integrates legal risk management with Next’s business objectives. Drive measurable business results through legal initiatives in partnership with other cross-functional teams. Oversee the legal operations team to effectively serve contract needs, prioritize tasks, and integrate with other company-wide systems. Oversee the management and maintenance of all company legal templates, including our Terms of Use, Privacy Policy, PIIA, Employment Contract, etc. Provide counsel and advise on legal liabilities associated with many areas of the business (i.e. employment law, commissions agreements, real estate leases, international expansion, system tooling, company policies, corporate finance, partnerships, etc.) Assist the General Counsel with corporate governance and internal control policies. Evaluate risk factors impacting business decisions and anticipate unique legal issues that could impact the company. Communicate and negotiate with external parties (i.e. regulators, external counsel, vendors, etc.), creating relationships based on trust. Maintain current knowledge of alterations in legislation. Counsel internal partners in the negotiation of corporate or commercial agreements, including participation in the negotiation process. Provide training to business colleagues on complex legal matters. Appropriately triage a heavy workflow, set clear priorities and expectations with clients, and efficiently deliver results. Operate with limited supervision on moderately complex projects. Independently discern and establish priorities.
