Vp, Associate General Counsel
The candidate will be responsible for the day-to-day coordination of legal work on M&A and licensing activities, business development, alliance management, direct and indirect sourcing contracting, real property, and commercial contracts for both specialty/brand and generics (working with the contracts administration team), related party transactions, R&D/clinical operations, finance (including debt maintenance), FTC commitment management and related matters with other attorneys in the legal department and other corporate departments such as operations, procurement, corporate communications, real estate/facilities, investor relations, finance and accounting, human resources, IT, tax and treasury; will also be responsible for managing and overseeing the contract repository and contract management system, along with the Legal Operations manager. have direct reports so experience managing other legal professionals is required. Provide senior oversight to the commercial contracting operations function within the Legal Department. Work in a team environment and supervise the legal aspects of business development, M&A, and licensing activities globally. Work with the General Counsel and other senior colleagues in the Legal Department to establish processes, structure, methodologies, and procedures in the Legal Department, as needed or required. Assist the General Counsel in setting policies and strategies for the Legal Department. Advise the General Counsel of all potential legal issues, topics, and legislative initiatives regarding all areas as to which s/he is responsible or informed. Proactively monitor pertinent legal and regulatory trends, especially focusing on the changing environment. Maintain clear and regular communications with the General Counsel and senior management, the Board of Directors, other relevant corporate stakeholders, and external constituencies, as appropriate. Perform other duties as assigned/ required. Should have Juris Doctorate (J.D.) degree from a nationally accredited law school. Should have been Admitted to the Bar of at least one state and eligible for admission to the New Jersey Bar as in-house counsel. Must be highly intelligent, possess excellent business and legal judgment, and add value as a respected strategic leader as well as a great legal technician at the company. S/He must be able to work comfortably in an intense, fast-paced environment, must be responsive to the needs of management, have a high energy level, be hands-on, and have the judgment and confidence to be able to make decisions under pressure in a timely way. Must inspire confidence through the strength of his or her intellect, judgment, leadership style, and ability to manage interpersonal relationships at all levels. Must possess a minimum of 15 years of experience with demonstrated legal leadership experience; 15 years or more of legal experience as a transactional attorney with direct experience in commercial contracts, finance, and other corporate transactions; 10 years or more Demonstrated experience with business development M&A and licensing activities; 5 years or more Experience supervising legal professionals; 5 years or more Experience with international transactions as well as in both generics and branded/specialty pharmaceuticals are strongly desired. - preferred strong diverse corporate & commercial background is required, with direct experience in corporate, finance, and other transactional (specifically M&A, licensing, and commercial) matters.
