We want to add another strong corporate attorney to our team. Excellent contract drafting and negotiating skills and experience are essential for our new team member. Experience in one or more of the following industries of our clients is very helpful: healthcare IT, life sciences, medical devices, software, and financial technology. Qualified attorneys who are creative, thorough, motivated, good communicators, and team-players are encouraged to apply. Responsibilities for our new team member will likely include the following:

  • Prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company
  • Maintain working knowledge of market terms in small and middle market M&A
  • Maintain working knowledge of tax, intellectual property, employment, privacy, and related matters that arise in M&A
  • Advise companies regarding corporate governance and fiduciary duty related matters
  • Prepare, review, and edit company sale waterfall spreadsheets
  • Prepare shareholder agreements, employment and consulting agreements, equity grant agreements, and noncompetition, confidentiality and invention assignment agreements
  • Prepare and negotiate Series AA through Series D investment-related agreements
  • Maintain working knowledge of Regulation D and market terms in angel and venture capital transactions
  • Prepare, negotiate, and edit distribution, manufacturing, and supply agreements
  • Prepare background memos, articles, and blog posts on issues faced by emerging companies
  • Develop content for automated forms and systems
  • Attract and maintain great relationships with emerging company clients
  • Maintain a basic understanding of HSR requirements, patent prosecution and enforcement, employment laws, and FDA approval processes for medical devices and therapeutics
  • Build strong relationships in the technology company community in the upper Midwest

Qualified individuals interested in full-time, part-time, and flexible time arrangements are encouraged to apply by clicking "Apply Now". Our preference is to have our new team member work in our Madison office, but a remote arrangement would be considered for someone who is very experienced.

Company Profile
Located in downtown Madison between the Wisconsin State Capitol and the University of Wisconsin campus, AlphaTech is a boutique law firm with a high end, sophisticated practice focused exclusively on working with emerging companies, primarily in technology-enabled industries. We pride ourselves on being a relaxed, quirky team that knows how to get the job done and done well, while enabling people to have their desired level of work-life balance. AlphaTech provides transactional and business law counsel to selected companies located primarily in the upper Midwest. Depending on the stage of the client, we work with scientific founders, professional management, and in-house counsel. We take a progressive approach to delivering legal services for our clients. For instance, we have developed robust automation that allows us to deliver common document sets in a more efficient manner, while freeing up attorneys’ time to focus on more important matters. Also, for simplicity and a greener environment, our documents system is cloud-based and we are virtually paperless. We strive to be connected with the technology community, informed of the latest issues affecting emerging companies, tech-savvy, and on the cutting edge of ways to serve our clients’ needs with non-traditional solutions.
