Senior Corporate Counsel, Real Estate
The candidate will draft, negotiate, review and finalize a high volume of commercial and industrial leases (including, retail, warehouse, energy, corporate facilities, Tesla center leases), and ancillary real estate documents: subleases, purchase and sale agreements, construction, amendments, assignments, terminations, easements, license agreements, event agreements, service contracts, construction agreements, MSAs, brokerage agreements, SNDAs, Estoppels etc. Project-manage real estate transactions by working closely with the Real Estate, Construction, Design, Finance, EH&S M&A and Global Purchasing teams. Manage and accurately deliver multiple and fast tracked projects expeditiously on very tight deadlines. Must be able to identify and discuss legal and business issues and assist the teams in resolving such issues in the best interest of the company, assess risks and make sound and practical judgement calls. Provide directions and practical, business-oriented advice and counseling on a range of real estate issues such as permitting and licensing, impact fees, acquisitions, construction and risk management/ insurance activities, mechanics liens, zoning variances, building codes, ADA, title and survey issues. Address lease interpretation issues related to existing and new locations. Work closely with the Property and Lease Management team with respect to property management issues (e.g. landlord/tenant issues, maintenance, defaults, rent discrepancies, possession, surrender, TIA collections). Review reports and other due diligence materials related to potential title and environmental liabilities (e.g. title reports, CC&R, easements, environmental reports). Contribute to the development, delivery and maintenance of a broad range of leases, LOI, construction, reports and other numerous templates to be used across our portfolio. Identify opportunities for internal process improvements and proactively assist in implementing them. Manage real estate or construction related pre-litigation, including notices, demand letters, opposing counsel’s correspondence. Effectively negotiate resolution of claims. Ensure on-going compliance with current and pending legal real estate related regulations. Provide guidance and advice on legal aspects of leasing, acquisitions, dispositions and other general real estate matters. Must have Juris Doctor Degree or LL.M. Admitted to CA bar or ability to register as RIHC. Should have 7-9 years of real estate experience negotiating leases, PSA and handling broad RE matters both in-house and law firm. Development/construction, Land Use and/or title/survey work experience a plus. Must be self-sufficient with strong knowledge of MS Word, Excel, Teams, One Drive. Bilingual Spanish (written and oral) a plus.
