**MEMBERS ONLY**SIGN UP NOW***. is seeking a dedicated, diligent attorney to join its Legal team. In this position, you will primarily be responsible for securities and corporate governance matters for an NYSE-listed public company. This position is based out of either New York City or Washington DC and reports directly to our General Counsel.
What You'll Do
Assist in drafting, reviewing, and preparation of 10-K, 10-Q, Proxy Statement, and other securities-related filings
Work with General Counsel, CFO, and Investor Relations in advising on investor communications and shareholder matters
Assist in handling SEC, FINRA, and other regulatory matters
Provide support on corporate governance matters, including preparation for Board of Directors meetings
Support compliance efforts, collaborating with other business units
Collaborate with members of the Legal team and corporate administrative departments
What You Have
At least 5 years of legal practice experience, preferably as in-house counsel at a public company, a leading law firm, or a combination thereof
Strong knowledge of federal and state securities laws and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934
Strong knowledge of NYSE rules
Flexibility and eagerness to work hard in a fast-paced environment and meet tight deadlines
Highly organized, process-centric, and customer-focused teammate
Ability to learn and adapt quickly, including working on projects that may not be squarely in comfort zone
Law degree from a top law school and a license to practice law

The base salary at the time of hire for this position is expected to be between $129,600 - $216,000. Pay ranges at **MEMBERS ONLY**SIGN UP NOW***. are established based on an analysis of salaries for positions with a similar level of accountability and impact in the relevant labor market. Salary levels are expected to change to reflect an employee’s job performance (results and impact) over time. Salaries at the time of hire are typically offered in the lower to middle of the above-referenced range in order to provide the opportunity to reflect performance-based increases over time. In addition to base salaries, employees at **MEMBERS ONLY**SIGN UP NOW***. are typically eligible for a comprehensive package of benefits, and successful candidates may also be eligible for equity (stock) based compensation and/or variable pay programs based on performance relative to goals and targets.
