Legal - Vice President and Counsel
The candidate provides legal counsel and advice to Crescent’s business areas including the SEC-registered investment business development company (“BDC”), private 3(c)(1), and 3(c)(7) funds, separately managed accounts, and investment advisory matters. Advises the business on a wide range of legal issues relevant to investment management advice, reporting, and regulatory issues, and new products. Serves as a resource on client marketing legal issues, with a focus on non-US marketing efforts. Works closely with the General Counsel, members of the legal team, and other functional areas (e.g., Portfolio Management, Compliance, and Portfolio Administration) to identify and resolve issues. Prior representation of 1940 Act registered investment companies is highly preferred, but not required.
Provides advice and support to legal and regulatory issues related to Crescent’s business areas. Acts as the authority on matters arising under the Investment Company Act of 1940 and related securities laws and regulations. Handles public fund filings and disclosures (registration statements, proxies, etc.). Addresses regulatory and compliance issues relating to an investment in various asset classes. Works with portfolio management and other business groups in the development and management of funds. Negotiates and reviews investment management agreements and other legal documents. Negotiates and manages side letters. Drafts and reviews legal contracts and documents. Responds to regulatory inquiries. Researches various legal and regulatory matters with a focus on non-U.S. securities law. Serves as a legal resource to the non-U.S. fundraising team with a particular focus on Europe, Asia, the Middle East, and South America. Manages internal client expectations to meet business objectives while ensuring compliance with legal and regulatory requirements. Liaises with outside counsel to ensure that timely and comprehensive responses are delivered on pressing legal matters. Should have a J.D. degree from an accredited law school
Should have 7 years of the relevant law firm, financial institution, or comparable experience post-JD Degree; the asset management industry is a plus. Exercises sound judgment and analytical skills in resolving matters of moderate to high complexity; ability to form and effectively articulate a legal position with conviction. Ability to work collaboratively and build effective relationships with all levels of the organization. Completes work in a fast-paced environment and according to established deadlines. Stays up-to-date with industry standards, developments, and regulations.
