Manager, Legal Contracts
The candidate reports to the Director, Corporate Counsel and is responsible for reviewing, analyzing and negotiating a variety of commercial agreements at Edwards. Will work with a cross-functional team to support and manage the company’s Enterprise Contracts Lifecycle Management (ECLM) system. Plays a key role in the agreement negotiation process by analyzing commercial legal terms and conditions to determine compliance and assess corporate risk. Reviews, analyzes, negotiates, and manages a wide variety of contracts (e.g., Master Service Agreements (MSAs), IT and Service as a Software (SaaS) agreements, research & development agreements, and agreements with Healthcare Professionals and Organizations (HCPs/HCOs). Drafts contractual provisions, including updating templates according to new company guidelines, laws, regulations, or other legal requirements in collaboration with other key stakeholders. Effectively manages competing priorities in a fast-paced environment. Has excellent organizational and communication skills and works collaboratively across different business functions and global regions; able to escalate issues to appropriate levels of management in the organization. Plans and implements complex legal projects and activities with accountability for successful completion of all project deliverables. Identifies and evaluates legal process improvement opportunities. Manages the contract template library, contract review processes and procedures and support contracts and ECLM training needs. Develops expertise on Edwards policies, procedures, and guidelines relevant to contract management. Develops and analyzes metrics and reports from the ECLM system. Manages outside counsel resources and communicates with business on review progress. Performs legal research and analysis as needed. Bachelor’s degree required with 10 years of progressive responsibility with quantifiable results in contract negotiation, administration and/or management; or Master’s degree with 8 years of experience negotiating and managing contracts. Paralegal certification or equivalent legal education or training. Strong writing, editing, negotiation and presentation skills are a must. Ability to think strategically and to formulate creative and practical legal business solutions is critical. Preferred Qualifications: In-house legal department or law firm experience is preferred. Background in the medical device, pharmaceutical, or other relevant healthcare industry is preferred. Proficiency with a Contract Lifecycle Management (CLM) system or similar system(s) is a plus.
