Senior Corporate Counsel Technology, Transaction, & Privacy Team
The candidate is the lead attorney on high value and complex sale, channel and financing transactions, with particular emphasis on captive finance engagements with Company Financial Services. Will report to a senior member of the Global Legal Department on the Technology, Transactions & Privacy practice team located in Reston, VA. Will be part of a fast-moving, collaborative legal team that impacts all go-to-market aspects of the business. Works closely with sales, deals desk, revenue, and finance and is an important resource for Legal colleagues on a global basis. Draft, review and negotiate complex commercial and financing contracts involving SaaS/cloud services, hardware and software in compliance with the company’s policies and risk tolerance. Act as legal team lead in financing transactions between customers and Company Finance Services. UCC filings as necessary related to the same. Draft, review and negotiate data protection, information security and other agreements as necessary. Respond promptly and effectively to legal requests from sales, business development, operations, senior management, and other internal clients, and advise on recommended courses of action and legal risks. Provide legal advice and recommendations, including identifying processes, legal requirements, registrations, and procedures. Support continuous improvement of standard form agreements, policies and legal processes related to commercial transactions. Handle special projects as requested. Must be admitted to the bar in at least one U.S. state, and have a law degree from a reputable law school. Must have 6-8 years of strong commercial transaction legal practice in a technology company including captive finance experience working with financing agreements, installment payment plans and UCC filings. Extensive experience working in a constructive and professional manner with sales personnel and management. Experience drafting and negotiating data processing and information security agreements and working with subject matter experts in these areas is a plus. Superior language, written and verbal communication skills required. Should be proactive, solutions-driven, and independent, with direct and leading experience in drafting and negotiating captive financing, SaaS/cloud services, data protection, information security, and hardware agreements.
