The candidate will act as a global legal partner for Environmental, Social and Governance (ESG) (including Sustainability), providing legal guidance and support for enterprise-wide ESG and Sustainability and Impact Team matters, including processes for legal review and approval, legal claims/positions, ESG litigation support, and leadership of the ESG Global Community of Practice. Will provide legal advice to the Sustainability & Impact Team; act as legal integrator/guide for ESG-related claim substantiation and positions globally, including smart record creation and active knowledge management; develop and deploy toolkits/matrices/processes for ESG-related claim substantiation; act as an enterprise-wide resource on ESG legal-related matters. Led the ESG global Community of Practice, a core group of global/BU lawyers that is responsible for: anticipating and advising on multidisciplinary ESG-related issues in an aligned, coordinated manner to bring best-in-class thinking to these issues, developing, sharing and implementing best practices on ESG matters for the business; mapping processes for legal review and approval of non-financial disclosures to support the Vice President, Sustainable Packaging, ESG Reporting & Engagement and defining and clarifying legal roles and processes; and engaging the broader organization on ESG education and learning; collaborating with colleagues to build and enhance ESG capabilities. Partner with the Chief Counsel, Litigation NA, to review and manage work on ESG claims and facilitate enterprise-wide coordination with litigation specialists and outside counsel. Support Executive Vice President and General Counsel on ESG matters for the Management Leadership Team and Board of Directors. Act as a member of the legal M&A team providing legal counsel to Mondelēz and its subsidiaries related to the merger, acquisition, divestiture and joint venture (“M&A”) transactions globally. The M&A aspect of this role requires substantial M&A legal experience across public, private and cross-border transactions and deep expertise in M&A, corporate and related transactional law. Under the supervision of the VP and Chief Counsel, M&A, the position will lead complex legal work for different aspects of an M&A transaction life cycle, from early-stage discussions to post-completion matters. Daily assignments may include building and leading due diligence teams, drafting and negotiating preliminary, definitive and ancillary transaction agreements, handling pre-closing deliverables, supervising and successfully completing closings and supporting integration efforts.
