The candidate advises various corporate functions on all aspects of corporate governance and SEC reporting and compliance, including Form 10-K, 10-Q, proxy statement and 8-K disclosures, Section 16 reporting and compliance, executive and equity compensation matters and NYSE listing requirements. Manages the annual proxy statement and annual shareholder meeting processes. Works with the corporate secretary and general counsel on corporate governance matters, board matters, proxy advisor data verifications and corporate responsibility reports. Assists with structuring, drafting, reviewing, and negotiating documentation for various commercial transactions. Advises investor relations, corporate communications, and corporate financial reporting functions on disclosure and securities matters, including in connection with press releases, investor presentations and management presentations. A JD from an accredited law school with an active license to practice law. Should have 7+ years of experience advising public companies in securities law and corporate governance matters. Strong knowledge of federal securities laws. Excellent written and verbal communication skills with the ability to communicate at all levels of the organization. Excellent project management skills.
