The candidate will manage the Company’s litigation docket, and work closely with outside counsel and the business clients to minimize cost and risk in resolving disputes. Provide guidance to business clients on intellectual property development and management, including managing infringement claims to resolution. Counsel business clients on a wide variety of employment matters. Draft, review and negotiate various agreements, including commercial sales contracts, government contracts, confidentiality agreements, commercial real estate agreements, license agreements and employment-related agreements. Provide corporate governance advice to the organization, including preparation of resolutions, policies and procedures. Assist in the Company’s acquisition activity, including active involvement in due diligence review and drafting and negotiating transaction documents. Develop practical solutions and communicate the same to business clients, including senior management. Enhance the effectiveness of the Law Department through participation in staff meetings, training, and positive interaction with corporate and business clients. Develop a keen understanding of the Company’s business strategy and its business system.
