Executive Legal Assistant
Duties: Provides administrative and legal support to Chief Legal Officer (CLO) and Chief Human Resources Officer (CHRO). Resolves routine legal issues under the direction of the CLO. Relies on experience and judgment to plan and accomplish goals. Maintains corporate records, including minute books, stock ledgers and corporate resolutions. Prepares correspondence, drafts legal documents and agreements, and gathers data and documentation related to litigation and non-litigation matters. Establishes and maintains confidential files and records Administers stock option plan, including preparing grant documentation, overseeing option exercises and interacting with equity holders Assists CLO and outside counsel with acquisitions. Organizes and expedites flow of work through the CLO’s office. Resolves a wide range of legal questions under the direction of the CLO and outside counsel. Schedules appointments and conference calls and coordinates arrangements for conferences, meetings and travel. May act as a liaison between corporate office, field management, and CLO’s office in gathering of facts to determine causes of action. Gathers appropriate data and prepares special or ad-hoc reports, summaries and/or replies to inquiries. Organizes and maintains corporate/legal files; fulfills requests for documents and information Coordinates all arrangements for Board of Directors and Committee meetings, including preparation of meeting books and travel arrangements Provides administrative support to CLO and CHRO with filing, preparation of documents in Word, Excel and Power Point, travel, expense reports, meeting coordination, etc. Wide range of independent judgment and decision making is exercised. Handles highly confidential and non-routine information May interview, hire, plan, and direct the work of others. Miscellaneous duties as assigned.
